In the online auctions organized by Efes Müzayedecilik (Efes Auctions), the seller, intermediary firm, and the buyer are defined as follows:

Seller: An individual or legal entity who entrusts Efes Müzayedecilik with the sale of their products in the online auction.

Intermediary Company: Efes Müzayedecilik is owned by Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, which acts as an intermediary by receiving products from the "seller" for auction, listing them in the online auction, handling the invoicing to the buyer of the sold items, and undertaking the delivery (at its own location). The buyers (participants) who will participate in Efes Müzayedecilik' auctions hereby agree to the following terms and conditions in advance:

1. Efes Müzayedecilik acts as an intermediary for the Seller and the Buyer, and earns a commission at the time of sale due to the intermediary service it provides in the electronic environment, both before and after the sale.

2. All the artworks put up for sale are inspected by experts from the Ministry of Culture and Tourism of the Republic of Turkey, in accordance with the Law No. 2863 on Cultural and Natural Assets. Documentation is provided for the items falling under the scope of the law, as deemed necessary.

3. To participate in online auctions, it is mandatory to register as a member on the website www.efesmuzayede.com .

4. The artifacts featured in online auctions can be viewed at the address Açangül Sok. Sema Ap. 6/2 Suadiye - Kadıköy İstanbul, provided that an appointment is made in advance, after the online catalog has been published.

5. All the information provided in the online auction catalog regarding the artifacts and their descriptions is based on the experts' opinions. The inclusion of artifacts in the online catalog is part of the preparation process for the online auction, and sales of the artifacts through the online catalog do not occur until the auction day.

6. Participants in the online auction acknowledge and declare that they have previously seen and examined the artifacts at the address specified by Efes Müzayedecilik as mentioned above. They accept and undertake that all artifacts are offered for sale in their current condition, and the buyer has sufficient inspected the sold artifact before placing a bid and waives the provisions stipulated in Article 223 of the Turkish Code of Obligations. It is not obligatory to provide a written report for each artifact. The information provided about the artifacts and any announcements made are not of a binding nature but rather for general information purposes. The buyer accepts this condition in advance.

7. Efes Müzayedecilik is not liable for the guarantee of the sold artifact (goods). The buyer will not make any objections or claims against Efes Müzayedecilik regarding this matter in the future.

8. In online auctions, bidding is done by clicking on the "PLACE BID" button. The buyer is bound by the offer made through bidding in the online auction. The auctioned item will be awarded to the buyer with the highest bid as of the auction's pre-determined end time set by Efes Müzayedecilik. The buyer cannot declare the auction null and void for any reason.

9. The authority to determine the value increase represented by pressing the PLACE BID section in the online auction and to modify these values belongs to Efes Müzayedecilik. The price of an artifact puts up for online auction can be increased starting from twenty percent or less of its estimated value.

10. Guests who do not register on the website and obtain the "online auction participation password" cannot participate in the online auction. The "online auction participation password" is personal to the individual and its use by anyone other than the registered user is strictly prohibited. The online auction participant acknowledges and undertakes that Efes Müzayedecilik will not be held responsible for any unauthorized use of this unique password. Bidding continues by placing bids until the end of the allotted time for the item, and the person with the highest bid at the end of the time period wins the auction.

11. In online auctions conducted on Efes Müzayecilik' website ( www.efesmuzayede.com ), the current highest bid for the auctioned item will be displayed on the auction screen while the auction is ongoing. In this context, participants in the online auction acknowledge and undertake that the bidding information, including the bids submitted and the identity of the bidders, will be encrypted and secured by Efes Müzayedecilik. Participants agree that they have no right to object to or dispute these records in any way.

12. The prices of items offered in the online auction will be subject to the addition of VAT and the intermediary service commission fee (+VAT), and the buyer is responsible for all these costs.

13. Invoices are prepared for all purchased artifacts. The invoices are computer-generated based on the member number, name, surname, and address. However, due to legal requirements, the invoice is issued by Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Auctions. The issuance of the invoice does not imply that Efes Müzayedecilik or its owner Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi is the seller. Efes Müzayedecilik and its owner Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi act as intermediaries facilitating the sale, not as the seller.

14. The owner of Efes Müzayedecilik, Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, will be entitled to a 15% commission + VAT for the service provided, which will be paid separately by the individual or legal entity that wins the bid on the item during the auction. The commission (+VAT) payable to Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi will become due and payable from the moment the auction ends. Even if the buyer decides not to proceed with the purchase of the auctioned item, they will still be obligated to pay a penalty fee in addition to a 7% commission. The service provided by Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi in this context constitutes an intermediary service performed instantly in the electronic environment and is outside the scope of the right of withdrawal.

15. The payment for the purchased artwork / goods shall be made in cash or via bank transfer within 7 days from the auction day. Once the buyer has paid the full purchase price, Value Added Tax (VAT), and the 15% auction company commission (+VAT), the obligation for the delivery of the item, owned by Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Müzayedecilik, will arise at their own address. Participants (buyers) in the auction are deemed to have accepted in advance that domestic shipping will not be provided. Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Müzayedecilik, cannot be held responsible for any delays caused by the shipping company in international shipments.

16. The auction will be conducted in accordance with Article 274 and the subsequent articles of the Turkish Code of Obligations and, therefore, cannot be considered a "distance sales contract" as defined in Article 48 of the Consumer Protection Law. As a result, the participant in the auction does not have a right of withdrawal. If the winning bidder, whether an individual or a legal entity, fails to pay the full price of the artwork within 7 days, Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Müzayedecilik, may, at its discretion, terminate the sales agreement, impose a penalty of 10%, and collect all damages incurred with commercial interest at a monthly rate of 15% starting from the date of the invoice. 17. Efes Müzayedecilik, the owner of Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, shall not be held responsible for any delay in reaching the auction participant due to notifications, communications, or address changes made by post, fax, email, or telephone to the postal address and other contact information specified by the participant in the online membership form, as well as for delays in postal services or courier services.

18. If the artifacts offered for sale within the scope of the online auction are found not to possess the declared qualifications or not to be in accordance with the stated origin, the sale of the artwork will be canceled. In cases where the artwork has been disposed of without the consent of the rightful owner, the legal responsibility lies with the party requesting the sale, as Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Müzayedecilik, is not the seller.

19. Efes Müzayedecilik has the right to withdraw any artifact from the auction, sell it together with another artifact, separate them, or refuse its sale. Regarding the artifacts listed in the online catalog, Efes Müzayedecilik reserves the right to not present the relevant artifact auction and apply legal procedures based on any objections or notifications that may arise until the auction day.

20. Efes Müzayedecilik has the authority to refuse to accept individuals it deems suspicious as members and to reject them from participating in the online auction without providing any justification. Additionally, the provisions regarding the liability record keeping as per Articles 214 and 218 of the Turkish Code of Obligations do not apply to Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Müzayedecilik, as it acts as an intermediary for the seller. Individuals under the age of 18 cannot become members.

21. Participating in the bidding (placing bids) and joining the online auction means accepting all the conditions mentioned above, as well as other rights and obligations belonging to Efes Müzayedecilik and its owner Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, in advance. No objections will be made after the sale has been completed.

22. In case of any typos or writing errors in the Online Auction Catalog, the statements provided by Efes Müzayedecilik will be taken as the basis.

23. Any kind of text and photographs published in the Online Auction Catalog cannot be partially or entirely reproduced without the written permission of Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Müzayedecilik.

24. The catalog values of the artifacts offered in the Online Auction are not the final values of the artifacts, but rather the starting price of the auction.

25. After the publication of the Online Auction Catalog, any new laws, legal changes, and changes in tax rates that may arise will be reflected on the buyers, and Efes Müzayedecilik and its owner Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi will not be held responsible for these changes and their consequences.

26. Online auction artifacts are shipped only to addresses outside of Turkey, and the shipping and customs expenses are borne by the buyer. Domestic shipping within Turkey is not provided. The buyer is responsible for any issues that may arise during international shipping. The product cannot be returned.

27. In accordance with Article 45 of Law No. 5846 and the Council of Ministers' decision dated 27.09.2006 and numbered 2006/10880, within this scope, with the condition of complying with the document procedure, the payments to be made to artists or rights holders are subject to the right of recourse by Erdem Mefruşat Sanayi ve Ticaret Limited Şirketi, the owner of Efes Müzayedecilik, concerning the artifacts that will be sold in the auction.

28. In case of disputes arising from the participation conditions of the auction, Istanbul Courts and Execution Offices shall have jurisdiction.
